Description: Establishing a delivery date and risk of loss should be fairly straightforward in a commercial transaction. In a software license and services agreement though the question of who has title to the software after delivery may be highly negotiated, especially where the customer has paid for development of custom software. The sample clauses included here cover several possibilities for granting title, with annotations.
