Software License Agreement (Vendor-Favorable)
Technology Transactions: A Practical Guide to Drafting and Negotiating Commercial Agreements

The standard software license agreement between a software vendor and a customer provides the customer a nonexclusive, nontransferable, nonsublicensable license to use the software.
This sample software license is vendor-favorable although many of the terms may be negotiable depending on the circumstances.
This sample license agreement is also annotated with suggestions about when the parties may want to add, remove or alter certain provisions.
