This text explores how the system actually operates, and suggests how lawyers, human resource professionals and hospital management teams can improve their outcomes through astute planning and careful drafting of agreements.

Mary Ellen Keegan retired as in-house legal counsel for the General Electric Co.’s Aviation Division, headquartered in Cincinnati, Ohio. For more than twenty years she negotiated, drafted and successfully concluded billions of dollars of U.S. and international commercial business transactions, mergers and acquisitions, financings, and other sophisticated business arrangements, year after year. Mary Ellen has lectured nationally and internationally on sophisticated business transactions. After marrying a gastroenterologist in 1993, she became keenly interested in the national healthcare delivery system, and most particularly, how it affected physicians on an individual and group level and has since tracked the changes in healthcare delivery as it negatively impacts physicians and other professionals in the U.S. healthcare system. Her vast business and transactions background has enabled her to consult and negotiate favorably for physicians with insurance companies and healthcare organizations. This is the second book she has coauthored that focuses on the subject of physician employment. She is a graduate of Seattle University School of Law.
